1. Introduction

These Terms and Conditions (“Terms”) are entered into by and between you (“you” or “your”) and Eugo Group Limited, a company registered in Hong Kong (“Company,” “we,” “us,” or “our”). These Terms, together with any documents they expressly incorporate by reference (collectively, “Terms”), govern your access to and use of www.eugogroup.com (the “Website”), including any content, functionality, and services offered on or through the Website,
The Website and the services provided by Eugo Group Limited are intended solely for use by customers—concerned individuals, companies, organizations, institutions, or other business entities (collectively referred to as “Customers”)—and any individual authorized by a Customer to access and use the Website on its behalf (an “Authorized Representative”).
The terms “you” and “your” in these Terms include both Customers and their Authorized Representatives. Each Authorized Representative hereby represents and warrants that they are authorized by the Customer to:

  • Accept these Terms on behalf of the Customer; and
  • Submit Requests for Quotations (“RFQs”), place orders for products (“Products”), or enter into any transaction on the Customer’s behalf.

Please read these Terms carefully before accessing, using, or interacting with the Website. By submitting an RFQ, purchasing Products, or using the Website through any means (including online, email, phone, or other methods), you agree to these Terms on your own behalf and on behalf of the Customer you represent. By accessing, browsing, interacting with, registering on, or using any part of the Website, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Website.
By using the Website, you represent and warrant that:

  • You are at least 18 years old and legally capable of entering into binding contracts.
  • You are using the Website as a representative of a Customer (not for personal purposes).
  • All information provided during registration, RFQ submission, or order placement is accurate and truthful.

If you do not meet these eligibility requirements, you are prohibited from accessing or using the Website.

2. Scope of Terms

These Terms govern:

  • All access to and use of the Eugo Group Limited website and its related features
  • The sale and purchase of products offered by Eugo Group Limited.
  • The RFQ process, including submission, evaluation, and subsequent negotiations.
  • Any communication, transaction, or interaction between the Company and the Customer.

These Terms apply in addition to any written contracts or agreements that may supplement these provisions. In the event of a conflict between these Terms and any separately executed contract, the latter shall prevail, provided it is agreed to in writing by both parties.

3. Product Descriptions and Availability

Eugo Group Limited strives to ensure the accuracy of all product descriptions, specifications, and availability listed on our website or provided during RFQ processes. However, we reserve the right to:

  • Modify, update, or correct errors in product descriptions or pricing without prior notice
  • Substitute equivalent products in cases of limited availability, with prior approval from the Customer.
Disclaimer of Liability

We are not liable for:

  • Typographical, clerical, or other unintentional errors in product descriptions or pricing.
  • Variations in appearance, dimensions, or other specifications due to manufacturing tolerances or stock availability.
4. Quotation and Request for Quotation (RFQ) Process

Eugo Group Limited offers an RFQ process for customers seeking to sell or inquire about surplus stock or purchase bulk products.

4.1 Submission Requirements

To submit an RFQ, the Customer must:

  • Provide accurate and complete information about the product or service requested.
  • Upload any required supporting documents or photos of the surplus stock (if applicable).
4.2 Non-Binding Process
  • Submitting an RFQ does not constitute a binding agreement.
  • Eugo Group Limited reserves the right to reject any RFQ that contains incomplete, false, or misleading information.
4.3 Evaluation and Response

Upon receiving an RFQ, we will:

  • Evaluate the details and documentation provided.
  • Respond within a reasonable timeframe with either:
    • A quotation, if feasible; or
    • A request for additional information, if needed.

Eugo Group Limited is under no obligation to accept or fulfill any RFQ submission.

5. Ordering and Acceptance

Eugo Group Limited’s acceptance of an order is subject to the following terms:

5.1 Order Placement
  • Orders must be placed through approved channels, such as the website, email, or other agreed methods.
  • Customers are responsible for ensuring the accuracy of order details, including product specifications and quantities.
5.2 Order Confirmation
  • An order is deemed accepted only when Eugo Group Limited issues an official confirmation (e.g., email or invoice).
  • Any order confirmation is subject to stock availability, pricing verification, and compliance with applicable regulations.
5.3 Right to Decline Orders

Eugo Group Limited reserves the right to decline or cancel any order:

  • That violates these Terms or applicable laws.
  • Due to unforeseen stock shortages or pricing errors.

In such cases, the Customer will be notified promptly, and any payments made will be refunded where applicable.

6. Pricing and Payment Terms

All transactions with Eugo Group Limited are governed by the following pricing and payment terms:

6.1 Pricing
  • Prices listed on the website or provided during RFQ submissions are in the specified currency (e.g., USD or HKD) and exclude taxes unless otherwise stated.
  • Applicable taxes, duties, and shipping costs will be added at checkout or included in the invoice.
6.2 Payment Terms
  • Payments must be made in full prior to shipment unless otherwise agreed in writing.
  • Accepted payment methods will be specified.
6.3 Late Payment
  • Any overdue payments are subject to a late payment penalty.
7. Delivery and Shipping

Eugo Group Limited aims to ensure timely and secure delivery of products. The following terms apply:

7.1 Shipping Arrangements
  • Delivery timelines and shipping methods will be specified in the order confirmation.
  • Eugo Group Limited works with third-party logistics providers to fulfill deliveries
7.2 Risk of Loss
  • Risk of loss or damage passes to the Customer upon shipment of the product.
  • Customers are advised to inspect all deliveries upon receipt and notify us of any issues within 7 days
7.3 Customer Responsibility
  • The Customer is responsible for:
    • Providing accurate shipping information.
    • Covering any applicable customs duties, import/export fees, or taxes.
  • Eugo Group Limited is not liable for delays caused by customs clearance or incorrect information provided by the Customer.
8. Import and Export Controls

Eugo Group Limited complies with international trade regulations, including import/export controls and economic sanctions. Customers are required to:

8.1 Compliance with Laws
  • Ensure that all transactions comply with applicable import/export laws and regulations in their jurisdiction.
  • Verify whether the products purchased are subject to restrictions, licensing requirements, or prohibitions.
8.2 Responsibility for Documentation
  • Customers are solely responsible for obtaining any necessary import/export permits or approvals.
  • The Company is not liable for delays, penalties, or rejections caused by insufficient or inaccurate documentation
8.3 Sanctions and Restricted Countries
  • Eugo Group Limited strictly prohibits the resale of its products to sanctioned countries or entities listed under international trade sanctions.
  • Violation of this clause will result in immediate termination of the Agreement and potential legal action.
9. Restricted Sales to Sanctioned Countries
9.1 Customer Warranty on Compliance

By purchasing products from Eugo Group Limited, the Customer warrants that:

  • Products will not be resold, exported, or used in countries under trade sanctions.
  • They will not facilitate transactions that violate international trade or export control laws.
9.2 Indemnification

Customers agree to indemnify and hold Eugo Group Limited harmless against any claims, fines, or liabilities arising from violations of this section.

10. Warranties

Eugo Group Limited provides products “as is,” without any implied warranties unless explicitly stated.

10.1 Manufacturer’s Warranty
  • The manufacturer’s warranty applies to all products sold.
  • Customers must follow the manufacturer’s warranty procedures for claims or repairs.
10.2 Disclaimer of Warranties

To the fullest extent permitted by law, Eugo Group Limited disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

10.3 Warranty Exclusions

The following are not covered under warranty:

  • Damage caused by improper installation, misuse, or unauthorized modifications.
  • Wear and tear or damage resulting from normal use.
  • Consequential or incidental damages.
11. Warranty Limitations
11.1 Limitation of Scope
  • Warranty coverage is limited to the terms and duration specified by the manufacturer.
  • Any additional services or repairs outside the warranty period are chargeable to the Customer.
11.2 No Company Responsibility
  • Eugo Group Limited is not liable for any delays or failures in warranty claims caused by the manufacturer.
11.3 Exclusion of Indirect Damages
  • The Company will not be held responsible for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
12. Returns and Refund Policy

Eugo Group Limited maintains strict guidelines for returns and refunds to ensure fair practices.

12.1 Conditions for Returns

Products may only be returned if:

  • The return is pre-approved by the Company.
  • The product is in its original condition, unused, and in its original packaging.
  • A request for return is made within [specify timeframe, e.g., 14 days] of delivery.
12.2 Exclusions

The following products are not eligible for returns:

  • Customized, modified, or special-order items.
  • Surplus or refurbished stock.
12.3 Refunds

13. Limitation of Liability

To the fullest extent permitted by law, Eugo Group Limited’s liability to Customers is strictly limited.

13.1 Exclusion of Indirect Damages
  • The Company is not liable for indirect, incidental, or consequential damages, including but not limited to:
    • Loss of profits.
    • Loss of data.
    • Business interruptions.
13.2 Maximum Liability
  • In all circumstances, the Company’s total liability is capped at the amount paid by the Customer for the product(s) giving rise to the claim.
13.3 No Third-Party Claims
  • Eugo Group Limited is not responsible for claims, damages, or losses caused by third-party logistics providers, manufacturers, or any other external entity involved in the transaction.
14. Intellectual Property Rights

Eugo Group Limited owns and reserves all rights to its intellectual property.

14.1 Ownership
  • All content on the website, including but not limited to trademarks, logos, text, images, and software, is the exclusive property of Eugo Group Limited.
14.2 Prohibited Uses

Customers are prohibited from:

  • Copying, reproducing, or distributing any content without prior written consent.
  • Using the Company’s trademarks or branding in any way that could cause confusion or imply endorsement.
14.3 License for Limited Use
  • Customers are granted a limited, non-exclusive, and non-transferable license to use the website solely for the purpose of conducting legitimate transactions with Eugo Group Limited.
15. Confidentiality

Eugo Group Limited respects the confidentiality of its Customers and requires the same in return.

15.1 Obligation to Maintain Confidentiality
  • Any non-public information shared between Eugo Group Limited and the Customer during the course of business, including but not limited to RFQ details, pricing, and technical specifications, must be kept strictly confidential.
15.2 Exceptions

Confidentiality obligations do not apply to information:

  • That is already publicly available.
  • That is disclosed as required by law or regulatory authorities.
15.3 Breach of Confidentiality
  • Any unauthorized disclosure of confidential information by the Customer will result in termination of the Agreement and potential legal action.
16. Data Protection and Privacy

Eugo Group Limited is committed to protecting the privacy of its Customers.

16.1 Collection and Use of Data
  • Customer information is collected in accordance with the Company’s Privacy Policy.
  • Data provided during RFQ submissions or purchases will be used solely for processing requests, fulfilling orders, and improving services.
16.2 Compliance with Laws
  • Eugo Group Limited complies with Hong Kong’s Personal Data (Privacy) Ordinance and any other applicable data protection laws.
16.3 Customer Responsibilities
  • Customers must ensure the accuracy of any personal or business information submitted to Eugo Group Limited.
  • The Company is not liable for damages arising from inaccurate or fraudulent information submitted by the Customer.
17. Environmental Responsibility

Eugo Group Limited is committed to promoting environmentally sustainable practices.

17.1 Sustainable Business Practices
  • The Company endeavors to source and manage products responsibly, including surplus stock, to minimize environmental impact.
17.2 Customer Participation
  • Customers are encouraged to recycle or dispose of surplus stock in an environmentally responsible manner.
17.3 Compliance with Environmental Laws
  • Eugo Group Limited ensures that its practices align with applicable environmental laws and regulations.
18. Force Majeure

Eugo Group Limited is not liable for delays or failure to perform its obligations due to circumstances beyond its reasonable control.

18.1 Covered Events
  • Force majeure events include but are not limited to:
    • Natural disasters (e.g., earthquakes, floods).
    • Government actions or regulations.
    • Pandemics, epidemics, or public health emergencies.
    • Strikes, labor disputes, or transportation delays.
18.2 Suspension of Obligations
  • During a force majeure event, the Company’s obligations will be suspended for the duration of the event.
18.3 Customer Rights
  • Customers will have the right to cancel their orders if a force majeure event prevents delivery beyond a specified reasonable timeframe.
19. Errors and Omissions Excepted (E.&O.E)
19.1 Disclaimer
  • Eugo Group Limited reserves the right to correct typographical, clerical, or other unintentional errors in invoices, documentation, or product descriptions.
19.2 Limitations on Liability
  • Errors and omissions do not constitute grounds for claims or damages, provided the Company corrects the error within a reasonable timeframe.
20. Export Control Classification Numbers (ECCN)
20.1 Purpose of ECCN
  • Export Control Classification Numbers (ECCN) provided by the Company are for internal reference only.
20.2 Customer Responsibility
  • The Customer is responsible for verifying and complying with ECCN classifications and related regulations.
  • Eugo Group Limited is not liable for incorrect use or misinterpretation of ECCN classifications.
21. Termination

Eugo Group Limited reserves the right to terminate any agreement or transaction with the Customer under the following circumstances:

21.1 Grounds for Termination
  • Breach of these Terms by the Customer.
  • Non-payment or fraudulent payment attempts.
  • Violation of import/export laws or sanctions policies.
21.2 Effect of Termination
  • Upon termination, all outstanding payments become immediately due.
  • The Company is not liable for any damages arising from the termination of the Agreement.
22. Indemnification

The Customer agrees to indemnify and hold harmless Eugo Group Limited, its affiliates, officers, and employees from any claims or liabilities arising from:

  • Breach of these Terms.
  • Breach of these Terms.
  • Misuse of the Company’s products or services.
23. Governing Law

These Terms are governed by and construed in accordance with the laws of Hong Kong.

23.1 Jurisdiction
  • Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Hong Kong.
23.2 Legal Severability
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
24. Dispute Resolution

Eugo Group Limited encourages the resolution of disputes through amicable negotiations.

24.1 Negotiation and Mediation
  • In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiations or mediation.
24.2 Arbitration

  • Each party will bear its own costs unless otherwise decided by the arbitrator.
25. Amendments and Updates

Eugo Group Limited reserves the right to update these Terms at any time.

25.2 Continued Use
  • Continued use of the website, products, or services constitutes acceptance of the updated Terms.
